'Shareholder ownership and the common good' by Santiago Mejia

The question of who (if anyone) owns a corporation is central to corporate governance and finance. Its answer has important implications for how to think about the rights of the corporation’s constituencies, the corporate objectives and strategy, and the corporation’s control and governance structures.
The general public has generally assumed that shareholders are the corporation's owners. Influential legal and corporate governance scholars have provided a battery of arguments criticizing this perspective. These arguments have gained wide acceptance among philosophers specializing in business ethics. In this paper Santiago Mejia (Fordham) seeks to challenge some of these arguments and to vindicate public opinion. However, Santiago also emphasises that these property rights should not be interpreted as granting shareholders unrestricted authority to run the corporation in accordance with their personal wishes.
